1. Scope

These Terms and Conditions apply to all quotations, contracts, and services provided 

by us in connection with consulting, procurement, and export of goods from China to 

customers in Europe or other destinations. They apply exclusively to 

business customers (B2B). Conflicting or differing terms from the customer shall not apply 

unless expressly agreed in writing.


2. Services

We offer consulting, sourcing, quality supervision, and export handling of technical goods 

and surface treatment services. The scope of services shall be defined individually in written offers.


3. Conclusion of Contract

Quotations are non-binding and subject to change. A contract is only formed when 

the customer accepts our written offer in writing or by issuing a purchase order that we confirm.


4. Prices and Payment

All prices are net prices (excluding VAT, customs duties, and other applicable charges 

unless stated otherwise). Payment is due as specified in the quotation or invoice. In case of delay, we reserve the right to charge interest as per applicable commercial law.


5. Delivery and Risk Transfer

Unless otherwise agreed, delivery terms follow Incoterms (e.g., EXW, FOB, CIF). 

Risk is transferred to the buyer upon handover to the carrier. Delivery times are approximate and non-binding unless otherwise agreed.


6. Warranty and Liability

We select suppliers carefully and supervise production where agreed. 

However, we are not liable for the manufacturer’s performance or defects unless otherwise stated in the contract.

Our liability for damages is limited to cases of intent or gross negligence. 

Liability for indirect or consequential damages is excluded.


7. Confidentiality

Both parties shall treat all business and technical information exchanged as confidential, unless publicly available or required by law.


8. Force Majeure

We are not liable for delays or failure due to force majeure or events beyond our control (e.g., natural disasters, political events, transport delays, export bans, etc.).


9. Governing Law and Jurisdiction

All contracts are governed by the laws of the People’s Republic of China. The place of jurisdiction is Shenyang, China, unless otherwise agreed.


10. Severability

Should any provision of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
